Salesforce’s $5.66 Billion Braze Bid Targets Real-Time AI Marketing
Salesforce plans to acquire customer-engagement software company Braze in a deal valued at about $5.66 billion, expanding its tools for personalized marketing across digital channels. The proposed all-cash transaction would bring Braze’s real-time messaging and AI capabilities into Salesforce’s broader customer and data platforms, subject to shareholder and regulatory approval.
Key takeaways
Salesforce is positioning the acquisition as a way to help businesses respond to customer activity more quickly and coordinate marketing across channels.
Braze shareholders would receive $47.50 in cash for each share of Class A common stock.
Salesforce expects the deal to close during its fiscal 2028, if approvals and other conditions are met.
The company expects the acquisition to support growth but weigh on profitability in the near term.
Salesforce said it would fund the purchase with cash and left its fiscal 2027 and fiscal 2030 outlooks unchanged.
A push into real-time customer engagement
Braze’s platform helps companies build and measure personalized interactions through mobile apps, websites, email, text messages and other services, including WhatsApp. Its tools use customer activity to support targeted communications and coordinated journeys, capabilities Salesforce says are increasingly important as marketers seek to act during relevant customer moments.
Braze serves about 2,700 customers, including Canva, Dairy Queen, Equinox, Instacart, Urban Outfitters and Venmo. Salesforce says the platform processes trillions of messages and journey actions annually, and its mobile-focused, event-streaming technology would add to Salesforce’s existing marketing capabilities.
How Braze fits into Salesforce
Salesforce plans to connect Braze’s engagement and AI optimization tools with its Data 360 and Customer 360 offerings, as well as Agentforce and Slack. The company says combining customer data, real-time decision-making and its distribution network could give marketers more context for personalizing interactions at scale.
Braze co-founder and CEO Bill Magnuson is expected to remain CEO of Braze within Salesforce after the transaction closes. The companies say Braze will continue to operate under its own name, and they will remain separate and independently operated while the deal is pending. Braze’s founders and broader leadership team are also expected to join Salesforce after closing.
Deal economics and outlook
Salesforce values the transaction at approximately $5.66 billion in enterprise value. The $47.50-per-share cash offer represents roughly five times Braze’s expected fiscal 2028 revenue, according to Salesforce executives. Salesforce expects to use cash rather than take on debt, describing the purchase amount as equivalent to about four months of its anticipated fiscal 2027 free cash flow.
The company expects Braze to contribute to growth, while diluting profitability in the near term. Salesforce anticipates operating efficiencies after the acquisition and says it plans to report Braze’s revenue contribution for one year following completion. Because closing is not expected for some time, Salesforce said it is not changing its fiscal 2027 guidance or fiscal 2030 framework.
Approvals remain outstanding
The deal is subject to approval by Braze shareholders, regulatory review and other customary closing conditions. Until it closes, both companies say they will continue serving their customers separately. Salesforce has not changed its published financial outlook in connection with the pending acquisition.
